Microsoft Faces Securities Fraud Lawsuit Over Copilot Performance

A securities fraud class action has been filed against Microsoft following a 10% stock drop in January 2026. Investors allege the company misled shareholders regarding the actual functionality and user adoption rates of its Copilot AI chatbot and the subsequent impact on its Azure cloud platform growth.

The lawsuit, filed in the U.S. District Court for the Western District of Washington, contends that Microsoft executives misrepresented the success of Copilot to inflate Azure-related revenue figures. While the company touted the tool as a best-in-class product driving widespread adoption, the complaint suggests that severe technical malfunctions and interoperability issues were causing users to abandon the service.

The market reaction followed Microsoft’s January 28, 2026, announcement of disappointing quarterly results, where it disclosed that Microsoft 365 Copilot had only 15 million premium users—significantly lower than analyst projections. The stock price plummeted from $481.63 to $433.50 within a single day. Subsequent reports from The Wall Street Journal corroborated these claims, citing widespread user frustration with the product's branding and technical stability. The City of St. Clair Shores Police and Fire Retirement System is leading the action, with a deadline of August 11, 2026, for other investors to request lead plaintiff status.
