NNS Holding Crosses 50% Threshold in OCI Global Takeover Bid

NNS Holding reached a majority stake in OCI Global after acquiring 487,359 additional shares on July 2, 2026. The Limassol-based investment firm, founded by Nassef Sawiris, now controls 50.13% of the company’s issued capital as it continues its voluntary public offer for the remaining outstanding shares.

The latest transaction involved purchasing shares at an average price of EUR 4.0441, with no single purchase exceeding the offer price cap of EUR 4.10. This acquisition brings NNS’s total holding to 105,952,630 shares. The firm stated it intends to provide liquidity for shareholders seeking to exit their positions while maintaining market stability for the stock.

NNS maintains that it may continue to purchase OCI securities outside of the formal offer structure, provided such actions comply with Dutch financial regulations. Any further significant changes to its shareholding will be disclosed through public filings. The voluntary offer remains subject to final approval of the offer memorandum by the Dutch Authority for the Financial Markets.
