The legal complaint alleges that Microsoft executives withheld critical information regarding the performance and infrastructure of its Copilot AI suite. According to the filing, the company failed to disclose that its proprietary AI models lagged behind competitors in benchmark testing and suffered from significant interoperability and data siloing issues. These technical hurdles allegedly hampered the conversion of commercial Microsoft 365 users to paid Copilot subscriptions, allowing rival products to gain market share.

Beyond product performance, the lawsuit claims the company misrepresented the financial impact of its AI strategy. It contends that Microsoft was forced to divert billions of dollars in capital and essential GPU and CPU resources away from its profitable Azure services to bolster the Copilot family. Plaintiffs argue that these undisclosed operational challenges rendered the company’s public statements regarding its business trajectory materially misleading throughout the nine-month period.
