Reformation Sets Terms for New York Stock Exchange Debut

Global womenswear label Reformation has officially launched its roadshow for an initial public offering, targeting a valuation based on a share price between $15.00 and $17.00. The Los Angeles-based company plans to list its common stock on the New York Stock Exchange under the ticker symbol REF.

The offering encompasses 14,062,500 shares, split between 9,478,821 shares issued by the company and 4,583,679 shares sold by existing stockholders. Underwriters have been granted a 30-day option to purchase an additional 2,109,375 shares to cover potential over-allotments. The company’s ability to finalize the deal remains contingent on prevailing market conditions and the formal effectiveness of its registration statement filed with the Securities and Exchange Commission.

J.P. Morgan and Morgan Stanley are spearheading the offering as joint lead bookrunning managers, supported by a syndicate that includes Citigroup, RBC Capital Markets, Guggenheim Securities, Baird, William Blair, and BTIG. Telsey Advisory Group serves as co-manager. Reformation currently maintains 70 retail locations across the United States, United Kingdom, Canada, and France, catering to a global customer base of over one million active shoppers.
