The legal action centers on claims that Navan’s Offering Documents presented a facade of rapid expansion, citing a 33% year-over-year revenue increase and a 32% rise in Gross Booking Volume between 2024 and 2025. According to the complaint, these figures masked a substantial spike in sales and marketing expenditures. Records indicate that by the quarter ending October 31, 2025—the date of the company’s Initial Public Offering—these expenses had ballooned to $95 million, up from $68.5 million just three months prior.
