Repligen Expands Cell Therapy Reach in $1.5 Billion BioLife Acquisition

A 6.2% premium over Tuesday's closing price marks the entry point for Waltham-based Repligen, which announced a $1.5 billion deal Wednesday to acquire the Washington-based developer BioLife Solutions. The move secures a critical foothold in the high-margin market for cell-processing tools and biopreservation media.

Repligen will pay $31 per share for the Bothell-based company, structuring the transaction as a combination of $11.25 in cash and 0.1442 shares of Repligen stock. The total consideration involves $564 million in cash—drawn from existing reserves—and approximately 7.2 million shares. The acquisition is expected to finalize by the end of the year.

Investors responded to the announcement with a moderate uptick; BioLife shares climbed 4.9% to $30.63 in early trading, while Repligen shares rose 0.3% to $137.36. Beyond the immediate market reaction, Repligen anticipates significant financial integration benefits. The company projects the deal will contribute at least 5 cents per share to adjusted earnings in the first year, climbing to 25 cents by the second year. Management expects to realize over $20 million in synergies during the initial 12 months, scaling to more than $30 million in the following year.
