The European Commission has formally approved the acquisition of Warner Bros. Discovery by Paramount Skydance Corporation, marking a decisive regulatory victory for the merger. This clearance, covering the European Economic Area, signals a major step toward finalizing a deal currently facing legal scrutiny from several U.S. state attorneys general.

The Commission’s decision to clear the transaction rests on the finding that sufficient competitive pressure remains within the film production and audiovisual value chains. Regulators explicitly rejected the notion that high-budget blockbuster films constitute a distinct, monopolistic market, instead viewing the combined entity as a necessary counterweight to dominant global tech platforms. By acknowledging that streaming services now compete directly with linear television, the European body effectively challenged the market definitions cited in ongoing U.S. litigation.

Paramount’s Chief Legal Officer, Makan Delrahim, framed the approval as validation of the merger’s pro-competitive potential. The company has pledged to increase its annual theatrical output to at least 30 high-quality films and maintain independent creative leadership across its brands. With this latest authorization, the deal has now cleared regulatory hurdles in 65 jurisdictions. The company maintains that the combined scale will foster greater investment in storytelling and provide a more robust infrastructure to support talent in an increasingly fragmented media landscape.
