Eligible investors who tender their holdings by the August 5, 2026, early deadline stand to receive an additional premium as part of their consideration.
Interest rates for the new 2038 and 2041 notes will be finalized at the pricing time on August 6, 2026, pegged to U.S. Treasury benchmarks plus fixed spreads of 245 and 270 basis points, respectively. The company has tapped Barclays Capital, Citigroup, and Morgan Stanley to manage the dealer activities, while D.F. King & Co. serves as the exchange agent. Participation is restricted to qualified institutional buyers and non-U.S. persons in offshore transactions, with the offer set to expire on August 20, 2026, unless extended by the company.
