The investigation focuses on whether the Safety board of directors breached fiduciary duties during negotiations. Legal representatives point to the structure of the agreement, specifically citing a restrictive clause that imposes a significant penalty should the company attempt to solicit or accept a superior competing bid. This provision, according to the firm, may unreasonably limit the market for alternative offers.

Beyond the deal’s valuation, the inquiry examines change-of-control arrangements that provide substantial financial benefits to company insiders. Ademi LLP is currently evaluating whether the process was designed to secure a fair price for public shareholders or if it favored internal interests at the expense of general investors.
