The Amsterdam-listed firm has yet to formally respond to the new proposal, though its board remains skeptical. Directors stated that internal projections for accelerated growth and wider margins suggest the company possesses inherent value far exceeding the current offer. This latest bid follows a rejected 48.50 euro per share proposal from WSP, which the board dismissed due to concerns regarding cultural alignment and deal certainty.
Analysts at Jefferies note that consolidation in the fragmented engineering sector remains a logical move. Arcadis currently trades at a 33% discount compared to its industry peers, making it a prime target for acquisition. Complicating any potential transaction is the influence of the Lovinklaan Foundation, the company’s largest shareholder, which prioritizes long-term employee interests and corporate continuity over immediate liquidity events.
