According to the filing, the company’s touted optical wavelength backlog was largely illusory, consisting of orders that were either unlikely to be paid or customers who were unwilling to accept delivery. These misrepresentations reportedly masked the reality that the company could not hit its revenue and margin targets or sustain its long-standing dividend policy.
Beyond the operational claims, the suit highlights the conduct of company leadership. The complaint asserts that undisclosed risks surrounding high-risk stock pledging by defendant Schaeffer created further downward pressure on the stock. From a peak of over $86 per share during the class period, Cogent’s valuation plummeted to under $17 once these issues surfaced. Investors wishing to serve as lead plaintiff in this litigation have until September 21, 2026, to file their motions.
