Truecaller crosses 5% ownership threshold following heavy stock buybacks

Truecaller AB surpassed the 5% threshold for holding its own shares during the week of July 20 to July 24, 2026, after acquiring over 5.2 million B shares. The aggressive buyback spree, executed on Nasdaq Stockholm, pushed the company's total treasury holdings to 5.68% of all outstanding shares.

The company repurchased exactly 5,270,000 B shares throughout the week, representing 1.56% of its capital. The bulk of this activity occurred on July 24, when the firm bought 2,910,000 shares alone, triggering a mandatory disclosure under the Financial Instruments Trading Act. These transactions were facilitated by SEB as part of a wider buyback program authorized at the 2026 Annual General Meeting, which allows the board to accumulate up to 10% of total outstanding shares before the 2027 meeting.

Since the current program launched on June 15, 2026, Truecaller has acquired 9,242,108 shares at a weighted average price of 16.33 SEK for the most recent week. Following these trades, the firm’s total treasury count stands at 17,092,108 B shares and 2,089,498 C shares. Despite these acquisitions, the company maintains 318,334,189 outstanding shares, with the buyback strategy continuing a multi-year trend that has seen the firm repurchase over 62 million shares since 2022.
