The legal action centers on allegations that Embecta management repeatedly characterized its pen needle portfolio as resilient and stable, despite internal awareness of significant competitive share loss and retail market softening. These assurances were dismantled on May 5, 2026, when the company reported a sharp revenue decline and admitted to market headwinds that directly contradicted previous financial guidance.

Following the disclosure, Embecta slashed its full-year 2026 adjusted earnings per share forecast by approximately 43% and reduced its quarterly dividend by 93%, from $0.15 to $0.01 per share. The market reaction was swift, with the company's stock price dropping 57.8% in a single trading session. Reed Kathrein, the Hagens Berman partner overseeing the investigation, stated that the firm is scrutinizing whether these prior positive statements were intentionally misleading. Shareholders who purchased stock between November 25, 2025, and May 4, 2026, are being urged to contact the firm to review their potential recovery options.
