Frequency Electronics Slumps as $100 Million Share Sale Hits Market

A 10% slide in after-hours trading followed Frequency Electronics’ announcement of a $100 million public offering, rattling investors who had pushed the stock up 23% earlier this year. The sell-off arrived as the company and key insiders prepared to offload a substantial portion of their equity holdings to the public.

The offering structure splits the $100 million total between the company and existing stakeholders. Frequency Electronics intends to sell $62.5 million in new shares to fuel growth initiatives, while two funds linked to board member Jonathan Brolin will divest the remaining $37.5 million. The company will not collect proceeds from the Brolin-affiliated transactions.

Market pressure intensified following the news, dropping the price to $59.85 after a regular session close of $66.46. To stabilize the offering, underwriters hold a 30-day option to purchase an additional $15 million in shares directly from the company. These funds are earmarked for future expansion, though the sudden dilution and insider exit signal a shift in momentum for shareholders who enjoyed steady gains throughout the year.
