Tetragon Declares Quarterly Dividend and Plans $50 Million Buyback

Tetragon Financial Group has announced a second-quarter dividend of 12 cents per share alongside a strategic plan to launch a tender offer for up to $50 million of its own non-voting shares. The Guernsey-based investment firm will utilize a modified Dutch auction structure to execute the upcoming repurchases.

The dividend payment is scheduled for August 26, 2026, with an ex-dividend date of July 31 and a record date of August 3. Shareholders wishing to participate in the company’s Optional Stock Dividend Plan, which allows for payouts in shares rather than cash, must submit their elections by August 13. Similarly, investors seeking to receive their cash dividends in Sterling must register their currency preference by the same August 13 deadline.

Regarding the share repurchase program, the company intends to hold the acquired non-voting shares as treasury stock. J.P. Morgan Cazenove will serve as the dealer manager for the transaction. Management noted that repurchasing shares at a price below net asset value is expected to be accretive to the firm's fully diluted NAV per share. Further specifics regarding the auction timeline and terms are expected to be released shortly.
