Healthcare Triangle Moves into MedTech with CosmoInnovations Acquisition

Healthcare Triangle has signed a non-binding letter of intent to acquire a 51% stake in Melbourne-based CosmoInnovations for $23.5 million. The deal signals a strategic pivot for the Nasdaq-listed firm, shifting its focus from healthcare IT services toward a product-led platform combining AI with proprietary medical and consumer technologies.

The proposed acquisition includes a portfolio of 27 granted international patents and 61 pending applications covering fields from photobiomodulation and respiratory wellness to skincare and pain management. By integrating these physical health devices with its existing digital infrastructure, Healthcare Triangle aims to build a recurring-revenue ecosystem. The company projects the acquired assets could generate over $50 million in cumulative revenue within three years, reaching an annualized run-rate of $33 million by the third year.

CosmoInnovations brings significant market validation to the table, including a former residency at the JLABS Shanghai innovation hub and commercial agreements with retailers like Chemist Warehouse. To protect shareholder interests, Healthcare Triangle has structured the $23.5 million consideration through a mix of cash, equity, and performance-linked milestones. The company will now begin an independent audit of the intellectual property portfolio and financial records before finalizing a definitive agreement.
