The lawsuit centers on allegations that the company masked weak demand for its AquaBeam Robotic Systems through an aggressive handpiece discount program that artificially inflated revenue metrics.

The litigation, filed in the U.S. District Court for the Northern District of California, covers investors who purchased common stock between February 28, 2024, and February 25, 2026. According to the complaint, Procept executives allegedly encouraged bulk handpiece orders that far exceeded actual procedure demand, creating a hidden surplus of field inventory. When these metrics were eventually corrected, the company's valuation tumbled from approximately $100.00 per share to below $25.00.

For pension funds and asset managers, the primary challenge lies in determining whether their internal transaction records reflect purchases made at prices distorted by these recurring revenue assumptions. The suit claims that handpiece sales outpaced clinical procedures by 8% to 16% in every quarter since early 2023. Institutional fiduciaries now have until September 22, 2026, to apply for the role of lead plaintiff, a position that allows for direct oversight of the litigation process. Joseph E. Levi, representing the firm managing the action, noted that fiduciaries must now weigh whether their specific holdings were compromised by the gap between reported demand and actual clinical activity.
