Prologis to Acquire SEGRO in $18.8 Billion Logistics Merger

Prologis has reached a definitive agreement to acquire British industrial property giant SEGRO plc in a transaction valued at approximately $18.8 billion. The deal, which has received unanimous support from the SEGRO board, aims to consolidate two of the world's largest logistics portfolios into a single global powerhouse.

The merger represents a significant expansion for the San Francisco-based logistics leader, which stands to increase its European footprint by 47%. By absorbing SEGRO's 368 million square feet of operating space and a 13 million square foot development pipeline, Prologis expects to fortify its position in the competitive European market while scaling its total assets under management to roughly $269 billion. CEO Daniel S. Letter framed the move as a strategic integration of SEGRO’s established customer relationships with the broader financial and operational reach of Prologis.

Under the proposed terms, SEGRO shareholders will receive 0.0920 Prologis shares for each share held, with a partial cash alternative capped at £3.5 billion. The transaction is expected to close in the first half of 2027, provided it clears regulatory hurdles and secures the necessary support from SEGRO shareholders. As part of the transition, Prologis intends to pursue a secondary listing on the London Stock Exchange. While the acquisition is expected to be minimally dilutive to earnings in the first year, leadership anticipates long-term growth across logistics, energy, and digital infrastructure sectors.
