Inturai Ventures Targets $1.27 Million in Private Placement

Vancouver-based Inturai Ventures is looking to raise up to $1.275 million through a non-brokered private placement. The company intends to issue 8.5 million units at $0.15 each, with proceeds earmarked for research, development, and general working capital as it expands its footprint in AI-driven technologies.

Each unit in the offering includes one common share and one full warrant, which allows investors to purchase an additional share at $0.25 within a 24-month window. These warrants carry an accelerated expiry clause: if the company’s stock price hits or exceeds $0.35 for five consecutive trading days, Inturai may force the warrants to expire 30 days after issuing a formal notice.

The offering is being conducted under the listed issuer financing exemption, meaning the units will be free-trading in most Canadian provinces and qualifying jurisdictions. While the company pursues these funds to advance its work in healthcare, military, and industrial AI, it may pay eligible third-party finders a 6% cash commission alongside finder's warrants on the same terms as the primary offering. Completion of the deal remains subject to standard regulatory approvals.
