The legal action targets Planet Fitness and its executives, alleging potential securities fraud or unlawful business practices. Investors seeking to serve as lead plaintiff in the case must submit their applications to the court by September 14, 2026. The lawsuit centers on disclosures made during the company’s first-quarter earnings report on May 7, 2026, when management revealed that a planned price increase for its Black Card membership had been paused amid weakening performance.

Following that announcement, the company significantly downgraded its annual growth targets. Specifically, system-wide same-club sales growth expectations were cut to 1% from previous guidance of 4% to 5%, while adjusted EBITDA growth projections were lowered to 6% from 10%. The market reacted aggressively to the news, sending the stock price plummeting by 31.19%—a loss of $19.95 per share—to close at $44.01.
