Cogent Communications Faces Class Action Over Alleged Securities Fraud

The legal action follows a series of disappointing quarterly disclosures that triggered significant declines in Cogent’s stock price. Beginning in February 2025, the company revealed a shrinking backlog and slowing growth in its wavelength connections, a trend that persisted through consecutive earnings calls. By November 2025, the company slashed its quarterly dividend by 98%, ending a 52-quarter streak of increases, which sent shares tumbling 56% over the following week.

Management’s transparency regarding these operations became a point of contention. During the February 2026 earnings call, executives notably refused to disclose specific backlog figures. By May 2026, CEO David Schaeffer acknowledged that customers were delaying the acceptance of wavelength installations, citing external constraints. This admission contributed to a further 29% drop in share price.
