Investors Invited to Lead Class Action Lawsuit Against DNOW Inc.

Shareholders who held DNOW Inc. common stock as of August 5, 2025, have until October 2, 2026, to move the court to serve as lead plaintiff in a class action lawsuit. Filed by The Rosen Law Firm, the litigation alleges the company misled investors regarding its merger with MRC Global Inc.

The lawsuit claims that DNOW management failed to disclose critical material issues involving MRC Global’s new enterprise resource planning system. According to the complaint, defendants understated the challenges posed by the merger, rendering public statements regarding the company's business prospects materially false or misleading. When these underlying details reached the market, the filing asserts that shareholders suffered financial damages.

Investors eligible to join the action are not required to pay out-of-pocket fees, as the firm operates on a contingency basis. While the court has not yet certified a class, those interested in representing the group must submit their requests before the October deadline. Investors retain the right to select their own counsel or remain absent members of the class, as serving as a lead plaintiff is not a prerequisite for sharing in a potential future recovery.
