3G Capital to Trim Restaurant Brands International Stake via Cash Buyout

3G Restaurant Brands Holdings LP has triggered an irrevocable exchange notice for approximately 2.8 million Class B units of Restaurant Brands International Limited Partnership. The company confirmed it will settle the transaction using existing cash reserves, a move that will reduce its fully diluted common share count by late August.

The exchange, scheduled for August 31, 2026, involves 2,784,549 units held by the 3G Capital affiliate. Following the settlement and subsequent cancellation of these units, 3G Restaurant Brands Holdings will maintain a stake of roughly 21% in the parent company. The repurchase price will be determined by the 20-day volume-weighted average price of the company’s common shares on the NYSE.

Restaurant Brands International, which operates major chains including Tim Hortons, Burger King, Popeyes, and Firehouse Subs, oversees a global network of over 33,000 locations. The company stated that the transaction will be funded entirely through available cash on hand, finalizing the reduction of its outstanding equity footprint.
