The lawsuit, spearheaded by the firm Hagens Berman Sobol Shapiro LLP, centers on the company’s "concentric circle" growth model. While Black Rock management marketed this strategy as a way to increase store density without cannibalizing revenue, the complaint alleges these assurances were materially false. Internal data reportedly showed that new store openings frequently siphoned traffic from existing high-volume locations, a trend management allegedly failed to disclose until May 12, 2026.
By the time the suit was filed on June 18, 2026, Black Rock Coffee shares had dropped to $7.72, representing a decline of more than 61% from the initial IPO price. Reed Kathrein, the Hagens Berman partner leading the investigation, stated that the firm is focused on establishing when executives knew their expansion strategy was eroding revenue and when that information should have been disclosed to the market. Investors who acquired common stock between September 12, 2025, and May 12, 2026, are eligible to participate in the case.
