Honeywell Aerospace Finalizes Multi-Billion Dollar Note Exchange

Honeywell Aerospace has finalized its massive debt exchange offer, successfully swapping nearly all outstanding unregistered notes for registered securities. The process, which concluded on August 12, 2026, covered nine separate series of senior notes with an aggregate principal value reaching into the tens of billions of dollars.

The exchange offer saw participation rates exceeding 98% across all categories of debt. Investors holding the initial unregistered notes, which ranged from 2028 maturities to long-term 2066 instruments, tendered their holdings in exchange for registered notes that carry identical terms but lack previous transfer restrictions. The company confirmed that it received no new proceeds from the transaction, as the maneuver was strictly designed to align the debt structure with Securities Act registration requirements.

By the expiration of the offer on August 10, the company had secured high-volume participation, including nearly 99.9% of the 2031 senior notes and effectively all of the 2066 notes. The transition of these securities, which were originally detailed in a July 13 prospectus, allows Honeywell Aerospace to streamline its capital obligations under SEC compliance standards. The company, headquartered in Phoenix, continues to maintain its financial disclosures through its dedicated investor relations portal as it manages its expansive portfolio of aerospace and defense technologies.
