N-able Faces Investor Probe Over Disclosures and Revenue Forecasts

Investors are scrutinizing N-able following a sharp reduction in the company’s fiscal 2026 outlook, prompting a formal investigation by the law firm Levi & Korsinsky. The inquiry centers on whether public statements regarding renewal trends for UEM and EDR products accurately reflected the company's financial stability before the guidance cut.

N-able, Inc. shares hit a wall after the company lowered its 2026 revenue guidance to $539–$542 million, down from an initial target of up to $559 million. The revision followed a disclosure that renewal rates for its key UEM and EDR product lines had weakened, contradicting earlier signals of stable performance. While the company reported second-quarter results in line with analyst expectations—posting revenue of $138.2 million and adjusted earnings of $0.10 per share—the market reacted negatively to the forward-looking guidance shift.

Legal representatives are now examining whether executive comments made earlier this year misled shareholders. In February, CFO Tim O'Brien cited expectations for steady demand and stable retention, while CEO John Pagliuca claimed in May that net revenue dollar retention had improved. Investigators are questioning if these assertions obscured underlying softness in renewal metrics. Shareholders who suffered losses are currently being evaluated for potential legal claims, with the investigation focusing on whether those disclosures constituted materially misleading information.
