Northwest Bancshares to Redeem All Outstanding Subordinated Notes

Columbus-based Northwest Bancshares, Inc. will redeem its entire series of 4.000% fixed-to-floating rate subordinated notes on September 15, 2026. The move, which targets debt originally maturing in 2030, marks a significant adjustment to the bank holding company’s capital structure as it prepares to clear the outstanding principal.

The redemption price is set at 100% of the principal amount, supplemented by all accrued and unpaid interest up to the redemption date. Holders of the notes will be contacted directly with specific instructions regarding the payout process, which is slated to be executed through The Depository Trust Company facilities. This decision concludes the obligation for the specific debt instrument identified by CUSIP No. 667339AA3 four years ahead of its original 2030 maturity date. Northwest Bancshares, the parent company of Northwest Bank, operates a network of 152 financial centers across Pennsylvania, New York, Ohio, and Indiana. The firm continues to manage a broad portfolio of personal and business banking services alongside its wealth management division.
