FORT Robotics to Go Public via $556 Million SPAC Merger

With over 600 global customers and a 62% revenue surge in 2025, Philadelphia-based FORT Robotics is set to join the Nasdaq. The safety infrastructure provider announced a definitive merger with Newbury Street II Acquisition Corp, aiming to establish a universal trust layer for the rapidly expanding physical AI market.

The deal values the combined entity, to be renamed FORT Robotics Holdings, at approximately $556.6 million. By securing a public listing under the ticker FROB, the company plans to capitalize on the increasing adoption of autonomous machines across sectors ranging from manufacturing and agriculture to defense. The transaction is expected to provide roughly $182 million in net cash to the balance sheet, funds earmarked for product innovation, global expansion, and potential acquisitions.

Founded in 2018 by Samuel Reeves, FORT has positioned itself as a critical safety intermediary for the robotics industry. Its platform is designed to allow machines from disparate manufacturers to operate safely in shared, human-occupied environments. The company has already secured over 25 patents and maintains a diverse client base that includes Google DeepMind, DoorDash, and Agility Robotics. The merger, which has received backing from institutional investors including Tiger Global and Mark Cuban, is slated to close in the fourth quarter of 2026.
