FORT Robotics to Go Public via $556 Million SPAC Merger

Philadelphia-based FORT Robotics, a specialist in safety infrastructure for autonomous machines, has entered a definitive agreement to merge with Newbury Street II Acquisition Corp. The deal, which values the combined entity at $556.6 million, aims to establish the first publicly traded company focused exclusively on the safety layer of physical AI.

The transaction is expected to provide roughly $182 million in net cash to the company's balance sheet, supporting product innovation and global expansion. Known for its 'Trust Layer' technology, FORT provides machine-agnostic safety systems that allow autonomous robots to operate in shared human environments. The platform is already used by more than 600 customers, including industry names like Google DeepMind, DoorDash, and Agility Robotics.

Financial performance remains a core driver for the move, with the company reporting a 62% year-over-year revenue increase in 2025. Institutional backing for the merger includes commitments from Tiger Global, Prologis Ventures, and Mark Cuban. Upon the closing of the deal, expected in the fourth quarter of 2026, the company will trade on the Nasdaq under the ticker symbol FROB. Founder and CEO Samuel Reeves will continue to lead the organization as it shifts into the public markets to capitalize on the rapid scaling of physical AI across sectors ranging from agriculture to defense.
