The investigation centers on a February 27, 2026, filing where Elauwit notified the Securities and Exchange Commission that its financial statements for the quarter ending September 30, 2025, could no longer be relied upon. The company attributed the inaccuracies to errors in revenue recognition for network construction projects, which surfaced during an audit following its initial public offering. While the firm maintains that the restatement did not involve intentional misconduct by its management or employees, the market reaction was immediate. Elauwit’s stock price dropped $0.52 per share, closing at $7.12 on March 2, 2026.

Rosen Law is currently seeking participants for a prospective class action to recover these investor losses.
