Jazz Pharmaceuticals Targets $1 Billion in Debt Offering

Dublin-based Jazz Pharmaceuticals plans to raise $1 billion through a private offering of exchangeable senior notes due in 2032. The biopharmaceutical company intends to use the capital for general corporate purposes while simultaneously launching a concurrent share repurchase program worth up to $225 million.

The offering, conducted through the company’s subsidiary Jazz Investments I Limited, includes an option for initial purchasers to acquire an additional $150 million in notes within a 13-day window. These notes will be exchangeable for cash, ordinary shares, or a mix of both, depending on the company's election at the time of exchange. The specific interest rates and conversion terms remain subject to market conditions at pricing.

Simultaneously, Jazz Pharmaceuticals will leverage its existing cash reserves to buy back up to $225 million of its own ordinary shares. These repurchases will occur in private transactions with or through the initial purchasers of the notes. Executed under a program authorized in July 2024, the buybacks will count against the company's remaining authorization. Management noted that these repurchases could influence the market price of the company's shares, potentially impacting the effective exchange price of the new debt.
