Baidu Secures Dual-Primary Listing Status in Hong Kong

Baidu will transition from a secondary to a dual-primary listing on the Hong Kong Stock Exchange effective September 1, 2026. The shift grants the AI firm a dual-primary presence in both Hong Kong and the United States, following shareholder approval secured during an extraordinary general meeting held today in Beijing.

The conversion involves no new share issuance or fundraising efforts. Starting September 1, the "S" marker will be stripped from Baidu’s stock names for both the HKD and RMB counters. This change mandates full compliance with the Hong Kong Listing Rules, a higher regulatory standard than the previous secondary status required.

To meet these regulatory obligations, the company restructured its Audit Committee and Nominating and Corporate Governance Committee. These adjustments ensure alignment with the governance standards required for dual-primary issuers on the Hong Kong board while maintaining its existing listing on the Nasdaq Global Select Market.
