The legal action arises from a series of disclosures regarding the company's fiscal integrity. On February 5, 2026, Hub Group admitted that financial statements for the first three quarters of 2025 were unreliable due to an error that understated purchased transportation costs and accounts payable by $77 million. The market reacted sharply to this revelation, sending shares down 18.25% to close at $41.96 the following day.

Accounting troubles deepened on May 12, 2026, when the company reported that its 2023 and 2024 annual reports also contained material misstatements. Hub Group cited transactions that were prematurely or incorrectly recognized, indicating a failure to maintain effective internal controls over financial reporting.
