The legal action, titled Morgan-Reed v. Rackspace Technology, Inc., claims that Rackspace failed to disclose that its pivot toward enterprise AI would necessitate a significant diversion of capital from its profitable Private Cloud segment. Plaintiffs allege that the company also obscured declining revenue in its Public Cloud business as customers shifted toward direct contracts with hyperscale platforms. These omissions reportedly culminated in a substantial reduction of the company’s fiscal year 2026 revenue guidance.
The market reacted sharply on July 9, 2026, when Rackspace disclosed that its AI investments would force a $150 million reduction in full-year revenue guidance, alongside a $25 million cut to its Private Cloud outlook. Rackspace shares dropped $2.21, or 33.6%, closing at $4.37 that day.
