Sobi Issues Class C Shares to Fund Employee Incentive Program

Svenska Handelsbanken AB has subscribed for 223,677 class C shares in Swedish Orphan Biovitrum AB, marking the completion of a directed share issue. This financial move, authorized by shareholders in May, serves to secure the company’s obligations under its long-term incentive plan for permanent employees.

The transaction follows a resolution from Sobi’s Annual General Meeting on May 6, 2026, which granted the Board of Directors power to issue and subsequently repurchase class C shares. On July 15, the board finalized the repurchase conditions, contingent upon subscription by Svenska Handelsbanken AB. Total proceeds from the issuance reached 122,732.80 SEK, with payment finalized today.

Once the 223,677 shares are repurchased, Sobi intends to convert them into common shares to facilitate future delivery to participants of the All Employee Programme. This conversion will adjust Sobi’s treasury holdings from 9,408,278 to 9,631,955 common shares, ensuring the firm retains sufficient equity to meet its internal incentive commitments without impacting current market liquidity.
