RedHill Biopharma Divests Talicia to Apotex in $18 Million Deal

RedHill Biopharma has offloaded its 70% interest in Talicia to Apotex Health Corp. for an initial $18 million in cash. The transaction provides the Raleigh-based company with immediate liquidity as it looks to pivot its commercial strategy toward new, higher-value gastrointestinal product opportunities and long-term operational profitability.

The agreement includes potential performance-based windfalls, with RedHill eligible for up to $35 million in additional payments tied to worldwide net sales milestones. This sale marks a decisive shift for the firm, which is looking to shed legacy assets to fund an aggressive expansion of its commercial franchise. Apotex, having already secured the remaining 30% stake in the drug through its acquisition of Cumberland Pharmaceuticals' branded business, now holds full control over the treatment for H. pylori infection.

Dror Ben-Asher, CEO of RedHill, noted that the capital injection is essential for scaling the company's existing GI portfolio. While the firm continues to advance a pipeline that includes treatments for inflammatory and infectious diseases, the divestment signals a clear intent to prioritize high-growth assets over established, shared-ownership stakes.
