Ecopetrol Sets Strict Proxy Rules for September Shareholders' Meeting

Ecopetrol is tightening oversight of shareholder representation ahead of its Extraordinary Meeting on September 15, 2026. The company has mandated that its staff remain strictly neutral, explicitly prohibiting employees and management from influencing proxy selections or coordinating voting strategies with investors to ensure total transparency during the proceedings.

The company’s Corporate Legal Vice Presidency and General Secretariat are tasked with vetting all submitted powers of attorney. Under the new protocols, any document lacking a clearly designated representative or failing to meet legal standards will be rejected immediately. Furthermore, Ecopetrol has issued a firm prohibition against granting proxy authority to anyone directly or indirectly linked to the firm's management.

Employees are restricted from representing shares other than their own personal holdings, unless acting under specific legal representation requirements. These internal directives align with the Financial Superintendence of Colombia’s recent circular, aiming to prevent conflicts of interest and maintain the integrity of the voting process at the upcoming assembly.
