Three Lions Acquisition Corp. Prices $100 Million Nasdaq IPO

Three Lions Acquisition Corp. has priced its initial public offering at $100 million, launching 10 million units at $10.00 each. The blank check company, which targets growth within the sports, hospitality, and real estate sectors, plans to begin trading on the Nasdaq Global Market under the ticker TLACU starting September 1.

Each unit includes one ordinary share and a half-warrant, with whole warrants allowing holders to purchase shares at $11.50. Once the securities decouple, shares and warrants will trade separately under the symbols TLAC and TLACW. EarlyBirdCapital, Inc. is acting as the sole book-running manager for the offering and holds a 45-day option to purchase an additional 1.5 million units to address potential over-allotments.

The offering is slated to close around September 2, pending standard closing conditions. Following the close, the company will focus its search for a merger or acquisition partner, specifically prioritizing opportunities in its core sectors. The Securities and Exchange Commission declared the company's registration statement effective on August 31, authorizing the sale of the securities.
