Yellow Wood Partners to Acquire Nestlé’s $1 Billion VMS Platform

Private equity firm Yellow Wood Partners has reached an agreement to acquire the Holistic Health platform from Nestlé for $1.0 billion. The deal brings a portfolio of major vitamins, minerals, and supplements brands—including Nature's Bounty, Nuun, and Osteo Bi-Flex—under the firm’s consumer-focused investment umbrella.

The acquisition positions Yellow Wood to manage Nature's Bounty, currently the second-largest VMS brand in the United States and a staple in over 20% of American households. The platform also includes specialty brands like Gard and Osteo Bi-Flex, which operate in high-growth sectors such as immunity, gut health, and hydration.

Dana Schmaltz, a partner at Yellow Wood, noted that the firm intends to operate the platform as a standalone entity to sharpen its market focus and accelerate innovation. The firm plans to apply its specific operational strategy to scale these assets, mirroring past carve-out successes with brands like Suave, Chapstick, and Dr. Scholl's. This transaction represents the sixth major carve-out acquisition for the Boston-based firm, which has previously executed deals with global giants including Unilever, Bayer, and Haleon. The transition is subject to regulatory approval and is slated to close in the first half of 2027.
