The settlement follows litigation brought by plaintiffs Jonathan Horner, Michael Krene, and Jerry Hamelton on behalf of stockholders who held shares as of July 18, 2024. If finalized by the court, the funds will be distributed on a pro rata basis to eligible class members. Notably, participants are not required to submit a claim form to receive their portion of the net settlement fund.

Vice Chancellor Nathan A. Cook will preside over a settlement hearing on October 27, 2026, at 11:00 a.m. at the Leonard L. Williams Justice Center in Wilmington, Delaware. During this session, the court will evaluate the fairness of the agreement, the proposed plan of allocation, and requests for legal fees. Any objections to the terms must be filed with the Register in Chancery no later than October 12, 2026. Detailed instructions for class members are available at www.AstraStockholderSettlement.com.
