Tencent Music Plans Senior Unsecured Notes Offering

Tencent Music Entertainment Group is moving to raise capital through a public offering of senior unsecured notes. The Shenzhen-based company, which operates major platforms like QQ Music and WeSing, intends to list the debt instruments on The Stock Exchange of Hong Kong while utilizing the proceeds to refinance offshore debt and support share repurchases.

The offering will be managed by a syndicate of international financial institutions, with J.P. Morgan Securities, Goldman Sachs (Asia), and The Hongkong and Shanghai Banking Corporation serving as joint bookrunners. Additional support is provided by joint lead managers including UBS AG, Bank of China, and MUFG Securities Asia. The company has already filed the necessary documentation, including a base prospectus and a preliminary supplement, with the U.S. Securities and Exchange Commission.

Investors seeking to participate or review the offering terms can access the filings through the SEC’s EDGAR database or request copies directly from the participating underwriters. While the notes are registered under the U.S. Securities Act, the company noted that the offering remains subject to prevailing market conditions and regulatory requirements in relevant jurisdictions.
