TORM plc Expands Capital Base Following RSU Incentive Exercise

TORM plc has expanded its share capital by 22,666 Class A shares, a move triggered by the exercise of Restricted Share Units under the company’s ongoing incentive program. The issuance represents a nominal increase of 226.66 USD and follows subscriptions executed at varying price points for participating employees.

The new shares, which hold no special rights and are fully negotiable, were issued at two distinct subscription levels: 6,933 shares at 139.90 DKK each, and 15,733 shares at 195.50 DKK each. These instruments carry standard dividend rights effective from the date of issuance and are slated for listing on Nasdaq Copenhagen.

Following this transaction, the company’s total share capital stands at 1,023,897.84 USD, divided into 102,389,784 Class A shares. Each share maintains a nominal value of 0.01 USD and carries a single vote. The capital increase was conducted without pre-emption rights for existing shareholders, with the company noting that potential transfer restrictions may apply in specific jurisdictions outside of Denmark.
