Vertiv to Acquire UtilityInnovation Group in $1.45 Billion Deal

Vertiv Holdings Co. has agreed to acquire microgrid specialist UtilityInnovation Group for $1.45 billion in cash, a move designed to bypass grid bottlenecks for AI data centers. The deal, which includes potential additional payments of up to $1.15 billion, extends Vertiv’s infrastructure reach from the utility interconnect to the chip.

The acquisition, slated to close in the fourth quarter of 2026, aims to address the growing power constraints facing large-scale AI deployments. By integrating UIG’s proprietary microgrid controls, onsite generation orchestration, and behind-the-meter power architecture, Vertiv plans to offer a unified system that reduces reliance on traditional utility timelines. Vertiv CEO Gio Albertazzi noted that the goal is to create a seamless architecture that allows operators to move faster from site selection to their first AI tokens.

UIG, founded in 2020 and headquartered in Raleigh, brings expertise in designing generation-agnostic systems that function across grid-connected, bridge-to-grid, and islanded environments. The acquisition is expected to be accretive to Vertiv’s adjusted earnings per share within the first year. Financially, the purchase price represents approximately 13x UIG’s projected 2027 EBITDA, with the final valuation contingent on reaching specific performance targets over the next two years.
