The complaint filed by Bronstein, Gewirtz & Grossman, LLC claims that CEO Thomas Healy and CFO Jon Panzer orchestrated a scheme to inflate stock prices by announcing a deal with a shell entity that lacked meaningful business operations. The suit alleges that this strategic timing was designed to facilitate insider trading, rendering the company’s public disclosures materially false and misleading.

Affected shareholders have until October 27, 2026, to petition the court to serve as lead plaintiff. While the law firm operates on a contingency fee basis—meaning legal costs are recovered only if the litigation proves successful—participation in the class does not mandate a leadership role for individual investors.
