AbbVie Finalizes $10.9 Billion Acquisition of Apogee Therapeutics

AbbVie has completed its $10.9 billion acquisition of Apogee Therapeutics, securing a portfolio of late-stage immunology assets. By paying $135.11 per share in cash, the North Chicago-based pharmaceutical giant aims to bolster its pipeline for treating atopic dermatitis, asthma, and other chronic inflammatory conditions.

The deal integrates Apogee’s lead candidate, zumilokibart, into AbbVie’s existing immunology franchise. The monoclonal antibody, which targets the IL-13 cytokine, has shown promising results in clinical trials for atopic dermatitis, offering potential for less frequent dosing and improved skin clearance. AbbVie plans to leverage its commercial and regulatory infrastructure to accelerate the development of this asset and others, including the combination therapy APG273.

Robert A. Michael, AbbVie’s chairman and CEO, stated that the acquisition is a strategic move to reinforce the company’s long-term growth in the immunology sector. Despite the significant capital outlay, AbbVie reaffirmed its 2026 financial outlook, maintaining an adjusted diluted earnings per share guidance range of $13.87 to $14.07. The company expects the acquisition to be dilutive to earnings in the near term, with accretion projected to begin in 2032.
