Commerzbank Launches €1.2 Billion Buyback Amid UniCredit Takeover Bid

German lender Commerzbank announced a €1.2 billion share buyback program on Thursday, a strategic move to bolster shareholder returns while facing an aggressive takeover push from Italy’s UniCredit. The initiative, valued at roughly 2.7% of the bank's €44 billion market capitalization, underscores the ongoing battle for control over Frankfurt’s second-largest bank.

The buyback operation commences this Friday and will continue through February 10, 2027. CEO Bettina Orlopp framed the decision as a consistent execution of the bank's capital return policy, noting that all acquired shares are slated for cancellation. This fiscal maneuver arrives as the bank attempts to project stability in the face of mounting external pressure.

UniCredit’s position has strengthened significantly since July, when the Italian firm secured a stake approaching 50%. This threshold grants Andrea Orcel’s bank enough influence to sway board appointments and critical shareholder resolutions. While opposition from the German government remains, signs of a shift in strategy are emerging. Finance Minister Lars Klingbeil is expected to meet with Orcel soon, marking the first direct high-level engagement between Berlin and the Italian bidder regarding the future of the German financial institution.
