The legal action follows a July 9, 2026, announcement in which Rackspace revealed a significant re-prioritization of resources to support its transition into an enterprise AI stack operator. This pivot triggered a $150 million reduction in full-year 2026 revenue guidance and a $25 million cut to the Private Cloud revenue outlook. Management attributed these adjustments to upfront growth investments and restructuring costs required before AI-related revenue could scale.

Market reaction was immediate and severe. Rackspace stock plummeted by 33.6%, or $2.21 per share, closing at $4.37 on the day of the disclosure.
