The lawsuit, spearheaded by Faruqi & Faruqi, LLP, alleges that Planet Fitness executives misled shareholders regarding the effectiveness of their marketing strategies. According to the complaint, the firm's recent messaging alienated its core demographic of fitness beginners, creating significant hurdles in member acquisition during the critical first-quarter sign-up window. These internal challenges rendered the company’s fiscal 2026 projections and long-term growth targets unattainable.

The market reacted sharply on May 7, 2026, when Planet Fitness revealed that same-store growth would fall significantly short of previous expectations, dropping from a projected 4–5% to 1%. The company also abandoned its three-year growth algorithm and halted a planned national price increase for its Black Card membership. Following the announcement, the company's stock price plummeted $19.95, closing at $44.01 per share—a single-day decline of over 31%.
