The lawsuit, captioned Morgan-Reed v. Rackspace Technology, Inc., centers on claims that Rackspace obscured the financial impact of its pivot toward an enterprise AI stack. Plaintiffs allege that the company failed to disclose that this shift required diverting capital away from its profitable Private Cloud segment, while simultaneously suffering from declining revenue as clients bypassed them for direct deals with hyperscale cloud platforms.
These omissions came to light on July 9, 2026, when Rackspace announced a $150 million reduction in its full-year revenue guidance and a $25 million cut to its Private Cloud outlook. The market response was immediate: Rackspace shares plummeted 33.6%, closing at $4.37 per share.
