Innventure Faces Class Action Lawsuit Following DarkNX Project Collapse

A 55% share price plunge has triggered a securities class action against Innventure, Inc. in the Southern District of New York. Investors who purchased stock between November 17, 2025, and August 13, 2026, now face an October 27, 2026, deadline to serve as lead plaintiff in the litigation.

The lawsuit, filed by Wolf Haldenstein Adler Freeman & Herz LLP, centers on allegations that Innventure executives misled shareholders regarding the viability of the Accelsius DarkNX data-center project. While the company touted the agreement as a transformative commercial milestone, the complaint asserts that leadership failed to disclose significant indicators that the project was unlikely to proceed.

These claims gained traction on August 13, 2026, when Innventure abruptly suspended its 2026 revenue and cash-flow projections for Accelsius. A subsequent filing with the U.S. Securities and Exchange Commission confirmed that the designated deployment site for the project was no longer available, leading to the venture's removal from internal bookings. The market reaction was immediate; Innventure shares cratered from a closing price of $3.60 on August 12 to $1.62 by August 14, wiping out more than half of the company's valuation in two days.
